En effet, dans ce type d\u2019entreprise, la <strong>gestion de la tr\u00e9sorerie<\/strong> y est souvent \u00e9tablie en <strong>centralisation<\/strong> (<strong>cash pooling<\/strong>).<\/p>\n\n\n\n<p>En quoi cela consiste ? Vous en conna\u00eetrez aujourd\u2019hui tous les rudiments !<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong><span class=\"underline--hoverpurple\">D\u00e9finition de la convention de tr\u00e9sorerie<\/span><\/strong><\/h2>\n\n\n\n<p>G\u00e9n\u00e9ralement, le mod\u00e8le le plus r\u00e9pandu est une convention de tr\u00e9sorerie \u00e9tablie entre une <strong>soci\u00e9t\u00e9 m\u00e8re (soci\u00e9t\u00e9 pivot, master account, holding<\/strong>) et ses <strong>filiales<\/strong>.<\/p>\n\n\n\n<p>La <strong>convention de tr\u00e9sorerie<\/strong> (aussi appel\u00e9e <strong>convention d\u2019omnium ou de cash pooling<\/strong>) permet aux soci\u00e9t\u00e9s y \u00e9tant li\u00e9es, la possibilit\u00e9 d\u2019\u00e9quilibrer les fonds de l\u2019entreprise.&nbsp;<\/p>\n\n\n\n<p>Cette <strong>tr\u00e9sorerie de groupe<\/strong> permet le regroupement des fonds de la soci\u00e9t\u00e9 pour un seul et m\u00eame objectif : l\u2019avantage fiscal et juridique.<\/p>\n\n\n\n<p>La holding a le contr\u00f4le et la d\u00e9tention de multiples soci\u00e9t\u00e9s, sans pour autant, n\u00e9cessit\u00e9 d\u2019appara\u00eetre comme dirigeante. tr\u00e9sorerie est un contrat<strong> intra-groupe<\/strong> pour lequel de nombreuses entreprises optent. Son int\u00e9r\u00eat est de centraliser et d\u2019optimiser les finances d\u2019un m\u00eame groupe.<\/p>\n\n\n\n<p>Cette action comptable est largement utilis\u00e9e par les <strong>PME <\/strong>(20 \u00e0 249 salari\u00e9s), les <strong>ETI<\/strong> (250 \u00e0 5 000 salari\u00e9s) et les<strong> GE<\/strong> (plus de 5 000 salari\u00e9s)<strong>,<\/strong><strong> <\/strong>afin d\u2019<strong>uniformiser leur tr\u00e9sorerie. <\/strong>&nbsp;<\/p>\n\n\n\n<p>La <strong>convention d\u2019omnium<\/strong> ouvre la possibilit\u00e9 d\u2019un <strong>lien de tr\u00e9sorerie <\/strong>entre les diff\u00e9rentes entit\u00e9s de l\u2019entreprise, mais surtout d\u2019une m\u00eame direction de la tr\u00e9sorerie pour celles-ci !<\/p>\n\n\n\n<p>\u00c9tablir une convention de tr\u00e9sorerie est une action avantageuse pour une <a href=\"https:\/\/ipaidthat.io\/mag\/comptabilite\/la-gestion-comptable-et-financiere-gratuite-avec-ipaidthat\/\" target=\"_blank\" rel=\"noreferrer noopener\">bonne ma\u00eetrise<\/a> des comptes.&nbsp;<\/p>\n\n\n\n<p>La soci\u00e9t\u00e9 d\u00e9sign\u00e9e par la convention va se charger de superviser la <strong>tr\u00e9sorerie commune <\/strong>; et par ce moyen, grandement se pr\u00e9munir des risques li\u00e9s aux divers flux de tr\u00e9sorerie courants ou \u00e0 leur intensification sur une p\u00e9riode donn\u00e9e.<\/p>\n\n\n\n<p><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>La fluidification des \u00e9changes<\/strong> <strong>dans l&rsquo;entreprise<\/strong><\/li>\n<\/ul>\n\n\n\n<p>\u00c9tant un <strong>syst\u00e8me<\/strong> facilitant la gestion de tr\u00e9sorerie. La convention, une fois \u00e9tablie, va fluidifier les \u00e9changes.&nbsp;<\/p>\n\n\n\n<p>C\u2019est simple, les exc\u00e9dents de tr\u00e9sorerie de certaines filiales du groupe pourront, par exemple, \u00eatre employ\u00e9s pour financer les d\u00e9ficits des membres en difficult\u00e9 financi\u00e8re.<\/p>\n\n\n\n<p><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>L\u2019offre d\u2019un cadre l\u00e9gal<\/strong> <strong>pour les contractants<\/strong><\/li>\n<\/ul>\n\n\n\n<p>Inclus dans un cadre l\u00e9gal et formel, vous en tirer le meilleur !<\/p>\n\n\n\n<p>Il ne faut pas oublier que la convention de tr\u00e9sorerie est avant tout un contrat soumis \u00e0 la libert\u00e9 contractuelle. \u00c0 ce titre, elle n\u2019a pas de mod\u00e8le pr\u00e9d\u00e9fini, mais des obligations l\u00e9gales requises pour sa r\u00e9daction :<\/p>\n\n\n\n<p>&#8211; La signature par toutes les parties composantes du groupe.&nbsp;<\/p>\n\n\n\n<p>&#8211; La mention claire des parties qu\u2019elle engage et des sp\u00e9cificit\u00e9s des articles L. 312-2 et L. 511-7 du Code Mon\u00e9taire et Financier.&nbsp;<\/p>\n\n\n\n<p>&#8211; La d\u00e9signation de la soci\u00e9t\u00e9 centralisatrice.<\/p>\n\n\n\n<p>&#8211; La banque pivot (pool leader).<\/p>\n\n\n\n<p>&#8211; L\u2019objet de son \u00e9dition.<\/p>\n\n\n\n<p>&#8211; Sa dur\u00e9e de validit\u00e9 et reconduction.<\/p>\n\n\n\n<p>&#8211; La p\u00e9riodicit\u00e9 des remont\u00e9es.<\/p>\n\n\n\n<p>&#8211; La d\u00e9finition de la r\u00e9mun\u00e9ration des avances et des pr\u00eats (le taux d\u2019int\u00e9r\u00eat d\u2019un pr\u00eat, les justifications, les limites de soldes d\u00e9biteurs et cr\u00e9diteurs autoris\u00e9s, etc.).<\/p>\n\n\n\n<p>&#8211; Ses modalit\u00e9s de fonctionnement (la m\u00e9thode de calcul, les conditions, le moyen de r\u00e9solution des litiges, les flux concern\u00e9s, etc.).<\/p>\n\n\n\n<p><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Avantage fiscal \u00e0 travers la convention de tr\u00e9sorerie<\/strong><\/li>\n<\/ul>\n\n\n\n<p>Dans la plupart des cas, la convention de tr\u00e9sorerie n\u2019est pas appr\u00e9ci\u00e9e au titre d\u2019une <strong>convention r\u00e9glement\u00e9e<\/strong>, car elle est consid\u00e9r\u00e9e comme une op\u00e9ration courante. N\u00e9anmoins, si vous la soumettez \u00e0 la proc\u00e9dure des conventions r\u00e9glement\u00e9es, elle n\u2019en sera que plus avantageuse fiscalement, en r\u00e9duisant certaines \u00e9ventualit\u00e9s :<\/p>\n\n\n\n<p>&#8211; La suspicion de distribution illicite des financements.<\/p>\n\n\n\n<p>&#8211; L\u2019abus de majorit\u00e9.<\/p>\n\n\n\n<p>&#8211; La confusion de patrimoine.<\/p>\n\n\n\n<p>&#8211; La responsabilit\u00e9 d\u00e9lictuelle du dirigeant mise en cause (abus de biens sociaux, etc.).<\/p>\n\n\n\n<p>M\u00eame si le cadre l\u00e9gal d\u2019une op\u00e9ration sera toujours \u00e9valu\u00e9.<\/p>\n\n\n\n<p><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Contrer les probl\u00e8mes de gestion de tr\u00e9sorerie<\/strong> <\/li>\n<\/ul>\n\n\n\n<p>C\u2019est une r\u00e9elle solution d\u2019augmentation du <strong>fonds de roulement<\/strong> pour \u00e9viter les <a href=\"https:\/\/ipaidthat.io\/mag\/tresorerie\/problemes-de-tresorerie-comment-faire\/\" target=\"_blank\" rel=\"noreferrer noopener\">probl\u00e8mes de tr\u00e9sorerie<\/a> qui poussent \u00e0 faire appel \u00e0 une solution externalis\u00e9e d\u2019emprunt (affacturage, escompte, etc.).&nbsp;<\/p>\n\n\n\n<p>Ce proc\u00e9d\u00e9 est appel\u00e9 l\u2019<strong>avance de tr\u00e9sorerie intra-groupe<\/strong>. Ces avances doivent imp\u00e9rativement \u00eatre justifi\u00e9es d\u2019un int\u00e9r\u00eat : financier, social, commercial ou autre.<\/p>\n\n\n\n<p>Mais attention, des exceptions existent !<\/p>\n\n\n\n<p>Une soci\u00e9t\u00e9 peut, dans certains cas, effectuer des <strong>avances de tr\u00e9sorerie sans int\u00e9r\u00eats<\/strong>, \u00e0 condition de pouvoir le justifier.<\/p>\n\n\n\n<p>De plus, les prestations intra-groupes pour un service ou une op\u00e9ration de gestion de tr\u00e9sorerie sont soumises \u00e0 la <a href=\"https:\/\/ipaidthat.io\/mag\/fiscalite\/tout-savoir-sur-la-tva-declaration-acompte-paiement\/\" target=\"_blank\" rel=\"noreferrer noopener\">TVA<\/a>, tant pour la soci\u00e9t\u00e9 m\u00e8re que pour ses filiales.<\/p>\n\n\n\n<p><strong>Un accord destin\u00e9 \u00e0 tout type d\u2019entreprise<\/strong> <\/p>\n\n\n\n<p>Juridiquement, tous les types d\u2019entreprises peuvent en faire partie. Des entreprises aux <strong>statuts juridiques<\/strong> diff\u00e9rents peuvent s\u2019y retrouver (SARL, SA, SAS, SASU, etc.).&nbsp;<\/p>\n\n\n\n<p>Cela est d\u00fb \u00e0 l\u2019exception faite des <strong>articles L. 311-2 et L. 511-7, 3<\/strong><strong>\u00b0<\/strong><strong> du Code Mon\u00e9taire et Financier<\/strong>.&nbsp;<\/p>\n\n\n\n<p>L\u2019autorisation y est donn\u00e9e pour une entreprise, de proc\u00e9der \u201c <em>avec des soci\u00e9t\u00e9s ayant avec elle, directement ou indirectement, des liens de capital<\/em> \u201d sans infraction au <a href=\"https:\/\/www.actu-juridique.fr\/affaires\/bancaire-credit\/compte-courant-dassocie-et-monopole-bancaire-loccasion-manquee\/\" target=\"_blank\" rel=\"noreferrer noopener\"><strong>monopole des banques<\/strong><\/a>.&nbsp;<\/p>\n\n\n\n<p>Octroyant ainsi \u00e0 l\u2019une de ces entreprises \u201c <em>un pouvoir de contr\u00f4le effectif sur les autres <\/em>\u201d.<\/p>\n\n\n\n<p>En r\u00e9sum\u00e9, la convention de tr\u00e9sorerie permet globalement, une gestion<strong> <\/strong>am\u00e9lior\u00e9e et une vision \u00e0 360\u00b0 des comptes. Moins d\u2019inqui\u00e9tude et plus de s\u00e9r\u00e9nit\u00e9 quant aux \u00e9carts de flux !<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong><span class=\"underline--hoverpurple\">Les diff\u00e9rents formats de liaison : cash pooling agreement<\/span><\/strong><\/h2>\n\n\n\n<p>Le<strong> cash pooling agreement<\/strong> (sign\u00e9 avec une banque) est une forme de convention de tr\u00e9sorerie. Vous avez plusieurs choix :<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>La<strong> liaison de flux <\/strong>directs : dans cette option de liaison des transactions directement entre les soci\u00e9t\u00e9s, chacune disposera d\u2019un compte, sans remont\u00e9e de tr\u00e9sorerie ni d\u2019\u00e9critures entre les filiales (elles fonctionnent avec leurs propres lignes de cr\u00e9dit, sans mouvement de fonds du compte centralisateur : <a href=\"https:\/\/entreprises.banque-france.fr\/sites\/default\/files\/bdf_reffin_chap6_603.pdf\" target=\"_blank\" rel=\"noreferrer noopener\"><strong>cash pooling notionnel<\/strong><\/a>). L\u2019atout \u00e9tant que chaque entit\u00e9 reste autonome au sein du groupe.\u00a0<\/li>\n\n\n\n<li>La liaison avec un compte centralisateur : ici, un <strong>compte pivot<\/strong> aura pour r\u00f4le d\u2019assurer la gestion de toutes les op\u00e9rations de tr\u00e9sorerie. Il s\u2019agira souvent d\u2019un seul compte courant d\u2019associ\u00e9s <strong>(cash pooling z\u00e9ro balance)<\/strong>.<\/li>\n<\/ul>\n\n\n\n<p>Cependant, cela n\u2019emp\u00eache pas l\u2019\u00e9tablissement d\u2019une convention de tr\u00e9sorerie, car ses deux notions sont distinctes.<\/p>\n\n\n\n<figure class=\"wp-block-table\"><table><tbody><tr><td
